Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Sieve Technologies, Inc., doing business as rostopay ("rostopay", "we"). By enrolling, accessing or accepting payments through the Service you accept these Terms and our Privacy Policy. If you use the Service for a business, you represent you can bind that business.

rostopay is a payment initiation and processing platform. We provide the rail over which parties communicate: biometric authorization, identity attestation and payment instructions. We are NOT a bank, money transmitter, wallet with custody, broker-dealer or investment adviser. We never hold, receive or transmit customer funds — RTP, Fedwire and A2A transfers are executed by licensed partner banks and money transmitters, and funds move directly between the payer’s and payee’s own accounts at insured depository institutions.

You must be at least 18, a U.S. resident with a U.S. bank account, and pass identity verification (AI document verification with OCR/MRZ, biometric matching, liveness and sanctions/PEP screening). You may enroll only your own face and accounts. One facewallet per person. You are responsible for the accuracy of the information in your facewallet.

Enrollment requires your explicit written consent to derive an irreversible encrypted template from your face on your device. You may withdraw consent at any time by deleting your facewallet, which permanently destroys the template. See the Privacy Policy’s Biometric Information Policy for retention and destruction schedules.

A completed face scan with liveness confirmation constitutes your authorization of the displayed payment, with the same legal effect as a signed instrument. Settlement is instant; once settled, payments are final and irreversible on the rail, except as required by applicable law (including error-resolution procedures under Regulation E and the operating rules of Nacha, TCH RTP and FedNow, handled with our partner institutions) or the merchant’s own refund policy. Set per-transaction limits and double-confirmation thresholds in your facewallet.

If you believe a transfer was unauthorized or erroneous, contact support@rostopay.com without delay and your bank as applicable. We will coordinate investigation with the executing institution under the applicable rail rules. Because every payment requires your live face, unauthorized-use claims are also verified against the cryptographic proof (Sieve ID + hash) available at verify.rostopay.com.

Merchants receive settlement as cash in their linked account, less the flat fee disclosed in their merchant agreement — no monthly minimums, no chargeback fees, no hardware rental. The buyer cash discount is governed by the owner with a 2% floor and must comply with applicable surcharge/discount law. Merchants must post accurate business information, honor advertised discounts, use the seal "Secured by rostopay" only as licensed, and not use the Service for prohibited categories (illegal goods, weapons, CSAM, sanctioned parties, money laundering, fraud). We may suspend or terminate access for violations, with settlement of cleared funds unaffected — we never hold merchant money.

Owners may invite team members with scoped roles (Manager, Admin, Staff, Accountant, Developer, Waiter, Valet, Cashier). Each member authenticates by face; the inviting business is responsible for its team’s use. Field roles cannot refund or move money out by design.

The Service, the rostopay and Sieve marks, the leaf logo, SDKs and documentation are owned by Sieve Technologies, Inc. We grant you a limited, revocable, non-exclusive license to use the SDK and seals solely to accept payments under these Terms. Feedback may be used without obligation.

Bank connectivity is provided by Plaid; transfers are executed by licensed partner banks and money transmitters; each under their own terms. rostopay is not responsible for outages or acts of third-party institutions, networks or your device.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIEVE TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA OR GOODWILL. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE FEES PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. Nothing herein limits liability for fraud, willful misconduct or rights that cannot be waived by law.

You will indemnify and hold harmless Sieve Technologies, Inc. and its officers, employees and partners from claims arising out of your breach of these Terms, your content, your business or your violation of law or third-party rights.

Any dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in your county of residence or remotely. YOU AND ROSTOPAY WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. You may opt out of arbitration within 30 days of first acceptance by writing to legal@rostopay.com. Small-claims court and injunctive relief for IP misuse remain available.

You may close your facewallet at any time; deletion of biometric data is immediate. We may suspend or terminate for breach, risk or legal requirement. Sections that by nature survive (IP, disclaimers, liability, arbitration) survive termination.

These Terms are governed by the laws of the State of Delaware, without regard to conflicts rules. If a provision is unenforceable, the remainder stands. These Terms plus the Privacy Policy and any merchant agreement are the entire agreement. We may assign to an affiliate or successor; you may not assign without consent. Notices: legal@rostopay.com.
